Intel Repurchases Apollo Stake in Irish Fab 34 for $14.2 Billion

Intel Corporation has bought back the 49% equity interest in its Fab 34 joint venture in Ireland from funds managed by Apollo and its affiliates. The $14.2 billion transaction, representing about 5% of Intel's $296 billion market capitalization, grants the company full ownership of the facility. This move, detailed in a recent SEC Form 8-K filing, underscores Intel's drive to consolidate control over its manufacturing expansion in Europe.

Origins of the Joint Venture

The partnership began in June 2024, when Apollo-managed funds acquired a 49% stake in Fab 34. Intel and Apollo then signed agreements on construction, operations, and wafer purchases from the site. That arrangement lasted less than two years before Intel exercised its option to repurchase the shares under a pact dated April 1, 2026.

Financing and Liquidity Position

Intel funded the deal with cash on hand plus a $6.5 billion bridge loan, and it plans to refinance the loan depending on market conditions. The company's current ratio stands at 2.02, meaning liquid assets more than double its short-term obligations. This financial strength allows Intel to pursue such large-scale buybacks without straining operations.

Strategic Shift to Full Control

Full ownership eliminates the joint venture structure, letting Intel terminate related agreements and streamline management. Fab 34 forms part of Intel's broader effort to build advanced semiconductor capacity amid global demand for chips in AI, computing, and defense. Regaining 100% control positions Intel to accelerate production and adapt quickly to supply chain demands in Europe.

Outlook for Intel's Manufacturing Push

The repurchase signals Intel's commitment to its foundry ambitions despite competitive pressures from TSMC and Samsung. With Europe emerging as a hub for chip production—bolstered by EU incentives—Fab 34 bolsters Intel's regional footprint. Investors will watch how this simplifies Intel's path to profitability in its manufacturing segment.
